1. Agreement to Terms

By accessing or using Scarlet (the "Service") provided by Black Collar Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you may not access the Service.

2. Service Description

Scarlet is a legal technology platform that provides services for law firms and legal professionals.

2.2 Service Availability

We strive to ensure high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue the Service at any time.

3. Customer Obligations

3.1 Account Registration

Customers must:

  • Provide accurate registration information
  • Maintain the security of account credentials
  • Notify us promptly of any unauthorized access
  • Be responsible for all activities under their account
  • 3.2 Acceptable Use

    Customers agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Attempt to gain unauthorized access
  • Interfere with the Service's operation
  • Use the Service for unauthorized purposes
  • 4. Intellectual Property Rights

    4.1 Service Ownership

    The Service, including all intellectual property rights, belongs to the Company. Customers receive a limited license to use the Service according to these Terms.

    4.2 Customer Data

    Customers retain all rights to their data. They grant us a limited license to use their data solely to provide and improve the Service.

    5. Confidentiality

    5.1 Definition

    Confidential Information includes all non-public information exchanged between the parties, including Customer Data, trade secrets, and proprietary information.

    5.2 Obligations

    Both parties agree to:

  • Maintain the confidentiality of Confidential Information
  • Use it only for purposes of providing/using the Service
  • Protect it with reasonable security measures
  • Return or destroy it upon request
  • 6. Warranties and Disclaimers

    6.1 Service Warranty

    We warrant that the Service will perform materially in accordance with our documentation under normal use.

    6.2 Disclaimers

    THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

    7. Limitation of Liability

    7.1 Limitation

    IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE.

    7.2 Cap

    Our total liability for any claim arising from or related to the Service shall not exceed the amount paid by Customer in the 3 months preceding the claim.

    8. Indemnification

    Customers agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

  • Their use of the Service
  • Their violation of these Terms
  • Their violation of any rights of a third party
  • Their Customer Data
  • 9. Term and Termination

    9.1 Term

    These Terms remain in effect until terminated by either party.

    9.2 Termination

    Either party may terminate:

  • For convenience with 180 days' notice
  • For cause upon material breach
  • Immediately for violations of Acceptable Use
  • 9.3 Effect of Termination

    Upon termination:

  • All rights and licenses terminate
  • Customers must cease using the Service
  • Customers may request their data
  • Confidentiality obligations survive
  • 10. General Provisions

    10.1 Governing Law

    These Terms are governed by Delaware law, without regard to conflict of law principles.

    10.2 Dispute Resolution

    Any disputes shall be resolved in the state or federal courts of Delaware.

    10.3 Assignment

    Customers may not assign these Terms without our prior written consent.

    10.4 Severability

    If any provision is found unenforceable, the remaining provisions remain in effect.

    10.5 Entire Agreement

    These Terms constitute the entire agreement between the parties regarding the Service.

    11. Changes to Terms

    We may modify these Terms at any time. We will notify Customers of material changes. Continued use of the Service constitutes acceptance of modified Terms.
